Overview Assistant General Counsel (Corporate Governance) at Allegis Group. This role involves responsibility for handling and supporting a broad array of corporate regulatory and transactional matters for the Allegis family of Companies (the Company), primarily in North America, including providing demonstrably effective partnership, trusted legal advice, counsel and services to the Company\'s shareholders, executives and affiliates, and supporting initiatives from the Finance, Treasury, Corporate Strategy and Tax teams and other members of the Legal Department. Additionally, providing support where requested on commercial and procurement contract drafting and negotiation. Job Summary Responsibility for handling and supporting a broad array of corporate regulatory and transactional matters for the Allegis family of Companies (the Company) primarily in North America including providing demonstrably effective partnership, trusted legal advice, counsel and services to the Company\'s shareholders, executives and affiliates and supporting initiatives from the Finance, Treasury, Corporate Strategy and Tax teams and other members so of the Legal Department. Additionally providing support where requested on commercial and procurement contract drafting and negotiation. Responsibilities Essential Functions: Develop as a recognized strategic Corporate and business expert and partner within the Legal Department handling a broad array of corporate matters in addition to supporting Allegis Corporate Services with drafting and negotiating vendor contracts. Has significant experience with or exposure to mergers and acquisitions, joint ventures, corporate finance, banking facilities and arrangements, investments and repatriation of funds, intellectual property and corporate governance. Solve complex problems through specialized depth and/or breadth of expertise and anticipate internal/external regulatory issues; recommend best practices and contribute to corporate strategy. Develop ability to influence senior leaders and executives and become a trusted partner. Work effectively with stakeholders and team members on corporate and vendor contract matters; operate independently with guidance only on the most complex situations. Lead projects or initiatives and create awareness of corporate trends and risks; deliver related training to internal customers as required. Provide subject matter expertise and support to other attorneys and legal operations staff within the Legal Department. Assist and provide strategic partnership with legal operations roles and contribute to their development; facilitate continuous improvements to corporate compliance practices where relevant. Developing Level In addition to Entry Level, act as a recognized strategic corporate and contracts expert and trusted business partner for the Company and its senior leaders. Contribute to solutioning and strategy on Corporate matters and demonstrate consistently effective leadership. Escalate as needed and collaborate with other attorneys and Legal Operations. Qualifications JD degree from an accredited law school Member in good standing of State Bar Skills / Abilities Entry Level In-depth knowledge of US Corporate laws and relevant concepts across disciplines including contractual, employment, banking, finance, tax and accounting matters. Working knowledge of international Corporate laws and regulatory matters and issues. Effective technical, analytical and research skills to accomplish complex legal functions and tasks. Good financial acumen; strong writing and communication skills; ability to propose creative and pragmatic solutions. Ability to advise and partner across several business and operational functions; establish trust with colleagues and partners. Ability to work independently and collaboratively; strong ethics and integrity; service-oriented mindset. Ability to manage complex corporate and vendor contracts including drafting and negotiating. Ability to provide creative and strategic counsel and strong interpersonal skills. Ability to balance business needs with risk considerations; prioritize effectively. Developing Level Strong technical, analytical and research skills for increasingly complex corporate matters, including solutioning and strategy. Good knowledge of international Corporate laws and regulatory matters. Ability to independently manage enterprise-wide vendor contracts and related documentation. Experience developing junior attorneys and professional staff. Awareness of external factors that could affect the Company and implementation of improvements and best practices.
